PLATFORM LICENSE AGREEMENT
Effective Date: January 1, 2025
1. INTRODUCTION
This Platform License Agreement ("Agreement") is entered into by and between VI Software ("Company"), a corporation duly organized and existing under the laws of the Country of Spain, and the undersigned server owner ("Licensee"), effective as of the date specified above. This Agreement sets forth the terms and conditions under which Licensee may utilize the services and platform provided by VI Software for the operation and management of modded Minecraft servers within the VI Software Platform ("Platform"). By accessing or utilizing the Platform, including but not limited to hosting, managing, or maintaining a server on the Platform, the Licensee agrees to be bound by the terms of this Agreement.
This Agreement ensures a structured, secure, and sustainable environment for the hosting, management, and operation of servers on the Platform. Licensees and their users (collectively referred to as "Users") are required to comply with the policies and guidelines outlined herein to ensure the integrity, security, and functionality of the Platform.
2. GRANT OF LICENSE
2.1 License Grant VI Software hereby grants the Licensee a non-exclusive, non-transferable, revocable license to operate and manage a server on the Platform, subject to the terms and conditions of this Agreement. The Licensee may host content, applications, and services ("Server Content") within their server, provided such activities are in compliance with this Agreement, the Terms of Service (TOS), the Platform's Code of Conduct, and applicable laws.
2.2 Platform Access and Use Licensee’s use of the Platform is strictly limited to the operation, management, and administration of a server hosted within the Platform environment. Licensee shall not use the Platform for any other purpose without prior written consent from VI Software. The Platform remains the sole property of VI Software, and Licensee acknowledges no rights or interests in the Platform other than those expressly granted herein.
3. PLATFORM USAGE GUIDELINES
3.1 Server Management Obligations The Licensee is solely responsible for managing their server(s) in accordance with the terms of this Agreement. This includes but is not limited to:
Ensuring compliance with all applicable laws and regulations, including those related to data protection, intellectual property, and cybersecurity.
Maintaining a secure server environment to prevent unauthorized access, data breaches, and other security threats.
Regularly monitoring and updating server software and security protocols to mitigate risks associated with cyber threats, including but not limited to Distributed Denial of Service (DDoS) attacks, malware, and exploits.
3.2 Content and Conduct Restrictions The Licensee is expressly prohibited from hosting, distributing, or facilitating the following types of content or behavior on their server:
Explicit, Pornographic, or Offensive Content: Content that is sexually explicit, pornographic, or otherwise inappropriate.
Hate Speech, Harassment, and Discrimination: Content or behavior that promotes hate speech, harassment, or discrimination based on race, religion, gender, sexual orientation, or any other protected category.
Illegal Activities: Content that promotes or facilitates illegal activities, including but not limited to fraud, piracy, hacking, or any other cybercrimes.
Intellectual Property Violations: Content that infringes upon the intellectual property rights of others, including software piracy, copyright infringement, or trademark violations.
Malicious Software: The use of malware, viruses, ransomware, or any other software designed to exploit, damage, or interfere with the functioning of the Platform or its users.
3.3 Community Standards The Licensee is responsible for ensuring that their server users adhere to the community guidelines established in the Platform's Code of Conduct, which includes maintaining respectful and lawful interactions. Licensees must facilitate the resolution of disputes among users, ensuring all actions comply with legal and ethical standards.
4. SERVER RESTRICTIONS AND OBLIGATIONS
4.1 Unauthorized Commercial Use Licensees are prohibited from using the server for any commercial purposes, including but not limited to:
Hosting advertisements or charging users for access to the server without express written consent from VI Software.
Offering paid services, goods, or subscriptions on the server without proper licensing or approval.
Conducting business activities that could be deemed as a violation of the terms of this Agreement.
4.2 Security Obligations Licensees must implement and maintain appropriate security measures, including but not limited to firewalls, encryption, and intrusion detection systems, to prevent unauthorized access, hacking, or data breaches. Licensees are required to notify VI Software promptly in the event of a security breach or suspected compromise of server security.
4.3 Prohibited Modifications and Software Licensees must not:
Modify, reverse-engineer, or bypass any security features of the Platform.
Use or deploy unauthorized third-party software, mods, or plugins that interfere with the normal operation of the Platform or the servers hosted within it.
Engage in activities that would harm the integrity or reputation of the Platform or its associated services.
5. COMPLIANCE WITH APPLICABLE LAWS
5.1 Legal Adherence Licensees must comply with all applicable laws, regulations, and government orders in relation to the operation and management of their server. This includes:
Data Protection and Privacy: Compliance with data privacy laws, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable privacy regulations.
Intellectual Property: Adherence to laws regarding copyright, trademarks, patents, and licensing agreements governing the content hosted on the server.
5.2 Reporting and Enforcement Licensees must cooperate with VI Software in investigating and addressing violations of applicable laws or this Agreement. VI Software reserves the right to suspend, modify, or terminate Licensee’s access to the Platform in the event of violations or illegal activities.
6. TERMINATION OF SERVER ACCESS
6.1 Termination for Breach of Contract
VI Software reserves the right to suspend or terminate the Licensee's access to the Platform, remove non-compliant content, and take further legal action in the event of a material breach of this Agreement. Breaches of this Agreement include, but are not limited to, the following:
Unauthorized Commercial Activities: Engaging in business activities, such as hosting paid advertisements or offering paid services, without the express written consent of VI Software.
Distribution of Illegal or Harmful Content: Hosting or facilitating the distribution of content that violates any applicable laws or regulations, including but not limited to illegal, harmful, defamatory, or offensive material.
Non-compliance with Security Obligations: Failing to implement or maintain adequate security measures to protect the server from unauthorized access, cyber threats, or data breaches.
Violation of Intellectual Property: Hosting or facilitating content that infringes upon the intellectual property rights of third parties, including the unauthorized use of copyrighted, trademarked, or patented material.
Failure to Maintain Platform Standards: Failure to comply with the Platform’s policies, including the Code of Conduct and the Terms of Service, resulting in disruption to the Platform’s integrity or the safety of its users.
In the event of such a breach, VI Software may, at its sole discretion:
Issue a written notice detailing the breach and the necessary corrective actions.
Suspend or terminate Licensee’s access to the Platform, in whole or in part.
Remove any non-compliant content from the Platform or server.
Seek injunctive relief, damages, or any other legal remedy available under applicable law.
VI Software may also pursue legal action against the Licensee to recover damages arising from the breach, including but not limited to costs incurred due to system disruption, intellectual property violations, or any other material damages.
6.2 Voluntary Termination Licensee may terminate this Agreement at any time by ceasing the use of the Platform and removing all hosted content. Upon termination, Licensee forfeits all rights to access the Platform and any content hosted on it.
7. INDEMNIFICATION AND LIABILITY
7.1 Indemnification The Licensee agrees to indemnify, defend, and hold harmless VI Software, its affiliates, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, or expenses (including legal fees) arising from:
The operation and management of the Licensee’s server.
Violations of this Agreement, the TOS, or any applicable laws.
Infringement of third-party rights, including intellectual property rights.
7.2 Limitation of Liability VI Software shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of data, loss of revenue, or interruption of service, arising from the use or inability to use the Platform, even if VI Software has been advised of the possibility of such damages.
8. MODIFICATIONS TO THE AGREEMENT
VI Software reserves the right to amend, modify, or update the terms of this Agreement at any time. Such amendments will be published on the official Platform. It is the Licensee's responsibility to review this Agreement periodically. Continued use of the Platform after any changes constitutes acceptance of the revised terms.
9. DISPUTE RESOLUTION
9.1 Dispute Resolution Mechanism Any disputes arising from this Agreement or the use of the Platform shall be resolved through binding arbitration under the laws of Spain. The Licensee and VI Software agree to submit any disputes to a mutually agreed-upon arbitrator. The arbitration shall take place at a location determined at the sole discretion of VI Software, and the award may be enforced in any court of competent jurisdiction.
9.2 Governing Law This Agreement shall be governed by and construed in accordance with the laws of the Valencian Community, Spain, without regard to its conflict of law principles.
10. ACKNOWLEDGEMENT
By utilizing the Platform, the Licensee acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement. The Licensee also affirms their compliance with all applicable laws and regulations governing their use of the Platform.
